Contract Terms

ENTIRE AGREEMENT: This agreement contains the entire understanding between S L Media Productions and the client. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all the parties. Along with obvious other references throughout this agreement S L Media Productions may be referred to as Bridal Shoot Photography, The Photographer, The Owner, or S L P, LLC. It is also understood that along with obvious other references related to customers the client may be referred to as bride, groom, the undersigned, customers, client, or signing party.

HOUSE RULES: SLP, LLC is limited by the guidelines of the ceremony official or reception site management. Client agrees to accept the technical results of their imposition on the photographer. Negotiation with the officials for moderation of guidelines is client's responsibility; S L P, LLC will offer technical recommendations only. FILM and COPYRIGHTS: Until final payment for services is made, the photographs produced by THE PHOTOGRAPHER are protected by Federal Copyright Law (all rights reserved) and may not be reproduced in any manner without THE PHOTOGRAPHER's explicitly written permission. The client must obtain written permission from and compensate S L P,LLC prior to the client or its friends and relatives publishing or selling the photographs for profit.

EXHIBITION: Client grants SLP, LLC permission to display selected images as an example of their work and for entrance into photographic competitions and release all claims to profits that may arise from use of images.

MODEL RELEASE: The client hereby grants to S L Media Productions and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs of the client or in which the client may be included, for editorial, trade, advertising and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. The client hereby releases THE PHOTOGRAPHER and its legal representatives and assigns from all claims and liability relating to said photographs.

S L P, LLC, Reserves all rights to its work and production. For understanding production is anything produced for the client by S L Media Productions which includes but is not limited to video, audio, and photos. S L P, LLC reserves the absolute rights to company involved productions and may administer this right with or without the knowledge of clients. S L P, LLC rights may include but are not limited to the display of its productions, the distribution of its productions, the public display of its productions. Productions are any visual or audio representation of clients. This right includes but is not limited to advertising, marketing, or financial gain. S L P, LLC and associated business cannot be held negligent for anything involving its production.

LIMIT OF LIABILITY: In the unlikely event that the Photographer is injured or becomes too ill to cover the event or unable to cover the event for other reasons, S L P, LLC will make every effort to secure a replacement photographer. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the event package at the discretion of S L P, LLC. S L P, LLC takes the utmost care with respect to exposure, transportation, and processing the photographs. However, in the unlikely event that photographs have been lost, stolen, or destroyed for reasons within or beyond S L Media Productions control, S L Media Productions liability is limited to the return of all payments received for the event and can only be enforced at the discretion of S L P,LLC. The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals in the clients package.

RESOLUTION: Any dispute or legal issues regarding services with S L P, LLC must go before 3rd party arbitration chosen by S L P,LLC and must take place in Mecklenburg County, NC unless S L P,LLC prefers another location. In the unlikely event of arbitration it must be paid for by the client. The client agrees to indemnify and hold harmless SLP, LLC, employees, The Owner, S L Media Productions, Partners, Companies DBA and any associates from any and all liabilities, losses, actions, causes of actions, damages, or claims arising out of or relating to any use of its service. S L P, LLC, employees, partners and associated businesses are exempt from any liability, damages, claims, and negligence.

CONFIDENTIALITY: By entering into this agreement the client agrees all opinions, facts, information, details, issues legal or personal referring to experience, service with, or anything relating to S L P, LLC, our associates, employees, the owner, photographer, or business partners must and will remain confidential unless given detailed written permission by email from S L P, LLC to disclose information. Failure to comply with confidentiality will result in liquidated damages in an amount no less than 10 times the total cost of the clients contract, amount due, or amount paid whichever is greater. In the event the client does not comply with the contractual terms of confidentiality the client assumes and accepts liability and agrees to the amount of liquidated damages. The client agrees and understands that confidential means no information, facts, details, or opinions can be shared with any third party individual, business, website, or organization. If the confidentiality portion of this agreement is broken by the client or if something written, printed, published orally or electronically by the client or the clients associates or relatives about S L P, LLC, the owner, our associates, employees, business partners, or the photographer the client accepts responsibility and agrees to be subject to liquidated damages. With the understanding of strict confidentiality if there are any issues, opinions, questions, details, facts, or concerns it must remain confidential and not shared with any third party, individual, business, organization, website, or company unless given detailed written permission by email from S L P, LLC.

ORDERING PRODUCTS AND COMPLETION: If prints are not ordered within 30 days from the date they are made available. The client understands they may lose the amount of printed photos allowed in the package. All ordered and or delivered photos or video are considered satisfactory, approved, and acceptable by the client. Client understands they must sign off on approval form or email and send back to S L Media Productions before delivery of products as described in the package. Turnaround time for products can range from 1-16 weeks after photos are ordered, longer periods are rare but possible especially if the client waits to long to order there photos.

ADDITIONAL TERMS: The client agrees to inform all guest and others present there photo or likeness may be used by S L P, LLC. Any agreement/contract made with, S L P, LLC can only be changed or amended by S L P, LLC at company discretion. If any agreement or contractual terms with S L P, LLC are not followed or broken or altered by the client without the permission of S L P, LLC the client at the discretion of S L P, LLC may risk the loss of all deposits and forfeiting the contract. In rare circumstances contracts may be sold or serviced by other companies without notification. Client is responsible for the production environment and anything out of the control of S L P, LLC or business associates. Things that may affect the environment and may be out of the control of S L P, LLC or business associates are but not limited to guest, other vendors, traffic, weather, lighting, facility rules/regulations, power failure, vandalism, acts of god, frequency issues, travel delays, and acoustics. These things may also effect scheduling and timing of the event and if so the client agrees to make scheduling and timing adjustments. Lighting can be affected by open windows and or lights in the place where the event is held. Lighting from windows behind the subject may result in the subject looking darker in the image. We do our best to work around lighting situations but without guarantee. Due to scheduling the exact photographer from our team may change at times. Most production details are shot with the judgment and desecration of the cameraman.

PAYMENT COST AND TERMS: All sales are final and the client agrees and understands all payments are non-refundable and are considered sole property of S L P, LLC and considered earned upon receipt. There are no refunds due to the priorities set for each date. All returned checks can result in breach of contract and client must pay returned check fees, late fees, plus remaining balance. A late fee of $100 will be added to the balance for every payment not received by the due date. This means the payment must be physically received or postmarked by the due date absolutely no exceptions. Customer must email date and time payment was mailed or received to avoid possible late charge. The cost of products is not factored into the package cost or cost of service. The package cost is the amount agreed to reserve S L Media Productions for the projected amount of time on the particular date. If the client did not order in time or just did not order the photos or products that comes with the package the client is not entitled to a refund as the package cost covers the time S L Media Productions or associates are present as stated in the contract and not what is provided prior to or after the wedding or event date. The client agrees to accept S L Media Productions interpretation of photo or product cost. If S L Media Productions is unable to provide the photos, or products that come with the package the client at the discretion of S L Media Productions will be refunded for the cost of the products, or photos not received providing S L Media Productions is the reason and inability to provide the photos or products is not the result of the clients actions.

DETAILED PAYMENT TERMS (Credit Card Payments may include processing fees)

SERVICE DETAILS

S L P, LLC will provide Photography Package 3. S L P, LLC will provide up to 5 hours total service with remaining coverage on the wedding date of 07/09/2016 between the hours of 2pm - 7pm may change if photographer arrives earlier. The client understands that all events at the reception (Toast, guarder toss, cake cutting, etc..) must take place and be completed at least 30min prior to contract end time to ensure accurate documentation. It is understood that the wedding date is guaranteed all other dates are subject to availability therefore service on dates outside of the wedding date is not promised. Wedding location and times changes may incur additional fees. Overtime rates start at $200 per hour but can vary. Customer agrees notifications & contract amendments will be received via email at the customers email address provided. BY SIGINGING THE CLIENT HAS READ AND AGREES TO ALL CONTRACT TERMS AND CONDITIONS. Signing party has authority to sign on behalf of their spouse and has shared contract information with their spouse and both parties agree to terms. Signing party authorizes S L Media Productions to charge cards supplied in the future including debit/credit cards.

Electronic-Signature Consent: As recognized by law the client also agrees their electronic signature on agreements and documents has the same effect as if signed in ink. By signing in ink or electronically the client affirms consent and agrees to all terms as described above and below.
